Bylaws for

HIP-HOP ‘I-5’ OF PDX, OR BE INDEPENDENT

Article I Purpose

To provide an alternative media that allows local Portland area hip-hop artists to express their music and talents through television, radio, internet and other media, and through sponsored events.

Article II Members

Membership is open to any person, organization, corporation, or business that supports the goals of Hip-Hop I 5 without regard to race, creed, national origin, gender or sexual orientation.

Article III Board of Directors

The Board of Directors will oversee and review all involvements of the organization. The board will be compromised on no fewer that three and no more that seven members.

Article IV Officers

1. Chairman 2. Vice Chairman 3. Treasurer 4. Secretary/recorder

Article V Meetings

Meetings will continue on a monthly basis. They will be open to all membership unless otherwise stated by The Board of Directors.

Article VI Amendments

The Board of Directors may amend these bylaws to include or omit any provision that it could lawfully include or omit at the time the amendment is made. Upon written notice of at least 14 days, any number of amendments or an entire revision of the bylaws may be submitted and acted upon at a single meeting of Directors in accordance with Article V.

Article VII Dissolution

Upon dissolution of the corporation and after the payment or the provision for payment of all the liabilities of the corporation, the Board of Directors will dispose of all assets of the corporation exclusively for the purposes of the corporation or to organizations that are then qualified as tax-exempt organizations under section 501©(3) of the Internal Revenue Code. Any assets not so disposed of will be disposed of by a court of jurisdiction in the county in which the principal office of the corporation is located.
